1. ELIGIBILITY

By using the Site, you represent and warrant that:

2. ACCOUNT REGISTRATION AND SECURITY

Prior to gaining access to certain Services on the Site, Aurynion may require you to create a user account by setting up a username and password (“Password”) as set forth in the account registration procedures posted on the Site.

By registering for an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Comply with all account registration procedures specified by Aurynion from time-to-time
• Assume sole responsibility for maintaining the confidentiality and security of your Password
• Use your best efforts to prevent any third party from obtaining access to your Password or account
• Notify Aurynion immediately in writing at privacy@aurynion.com of any actual or suspected unauthorized access to your account or Password
• Accept responsibility for all activities that occur under your account

Aurynion reserves the right to suspend or cancel your Password and account at any time, including upon misuse of the account or breach of these Terms. Aurynion is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3. ACCEPTABLE USE

You agree to use the Site and Services only for lawful purposes and in a manner consistent with these Terms, our Privacy Policy, and all applicable local, state, national, and international laws and regulations.

Permitted uses include:

• Accessing and browsing the Site for personal or professional informational purposes
• Creating and maintaining a user account for authorized Services
• Submitting content in accordance with Section 6 of these Terms
• Using AI-powered features in accordance with our AI Usage Policy
• Interacting with third-party content in accordance with applicable license terms

4. PROHIBITED CONDUCT

You must not use the Site or Services to:

4.1 General Prohibitions

• Violate any applicable law, regulation, or third-party rights
• Engage in fraudulent, deceptive, or misleading conduct
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harass, threaten, defame, or intimidate any person
• Transmit any unsolicited commercial communications, spam, or chain letters
• Interfere with or disrupt the integrity, security, or performance of the Site or its infrastructure
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems

4.2 Technical Prohibitions

• Use any robot, spider, scraper, crawler, or other automated retrieval tool to access, index, or harvest content from the Site without prior written authorization from Aurynion
• Deploy AI bots, large language models (LLMs), or AI agents to interact with the Site in a manner that circumvents normal user access patterns
• Use Site content, user data, or any Aurynion materials to train, fine-tune, develop, or improve any AI or machine learning model without prior written authorization
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any part of the Site
• Introduce viruses, trojans, ransomware, or any other malicious or harmful code to the Site
• Circumvent, disable, or otherwise interfere with any security features or access controls of the Site

4.3 Content Prohibitions

• Post, upload, or transmit content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Post content that infringes the intellectual property, privacy, or other rights of any third party
• Submit false, misleading, or inaccurate information
• Post content generated by AI tools where the platform requires original human authorship without appropriate disclosure, as further described in our AI Usage Policy

Violations of this Section may result in immediate account termination and may expose you to civil or criminal liability under applicable law, including the Computer Fraud and Abuse Act (CFAA).

5. INTELLECTUAL PROPERTY

5.1 Aurynion Intellectual Property

The Site and all of its content, features, and functionality, including but not limited to text, graphics, logos, images, audio clips, software, and the selection and arrangement thereof (“Aurynion Content”), are owned by Aurynion, its licensors, or other providers and are protected by US and international intellectual property laws, including copyright, trademark, and trade secret law.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Aurynion Content solely for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

• Reproduce, distribute, modify, or create derivative works of Aurynion Content
• Use Aurynion Content for commercial purposes without prior written consent
• Remove or alter any proprietary notices or labels on Aurynion Content
• Use any Aurynion trademarks, logos, or trade names without prior written authorization

5.2 Trademarks

Aurynion‘s name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aurynion LLC. You must not use such marks without prior written permission. All other names, logos, and marks are the trademarks of their respective owners.

5.3 User Submissions and Feature Suggestions

You hereby assign to Aurynion all right, title, and interest worldwide in all intellectual property rights in and to any new feature, idea, or suggestion that you submit to Aurynion relating to the Site or Services. You acknowledge and agree that Aurynion may use such suggestions or submissions in any manner, including without limitation to develop features for the Site, without any obligation of confidentiality, attribution, or compensation to you.

6. USER-GENERATED CONTENT AND SUBMISSIONS

6.1 Your Content

You retain ownership of any content you submit, post, or upload to the Site (“User Content”). By submitting User Content, you grant Aurynion a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation and promotion of the Site and Services.

6.2 Your Representations

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights and permissions to submit the content and to grant the license above
• Your content does not infringe the intellectual property, privacy, or other rights of any third party
• Your content complies with these Terms and all applicable laws
• Where content was generated using AI tools, you remain fully responsible for that content and its compliance with these Terms and our AI Usage Policy

6.3 Aurynion‘s Rights Over User Content

Aurynion reserves the right, but not the obligation, to:

• Monitor, review, or moderate User Content at any time
• Remove or disable access to User Content that violates these Terms or applicable law
• Disclose User Content where required by law or in accordance with our Privacy Policy

7. THIRD-PARTY CONTENT

The Site may include content provided by third parties, including other users, licensors, and syndication partners (“Third-Party Content”). Aurynion does not control and is not responsible for any Third-Party Content.

Some Third-Party Content may be licensed by Aurynion for use on the Site and shall be subject to the license terms set out in Section 5 unless such Third-Party Content indicates it is subject to other terms, in which case those other terms shall apply.

Aurynion DISCLAIMS ALL WARRANTIES WITH REGARD TO THIRD-PARTY CONTENT, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LINKS TO EXTERNAL WEBSITES

The Site may provide links to third-party websites or resources over which Aurynion does not have control (“External Websites”). Such links do not constitute an endorsement by Aurynion of those External Websites.

You acknowledge that Aurynion provides these links for your convenience only, and Aurynion is not responsible for the content, accuracy, or availability of such External Websites. Your use of External Websites is subject to the terms of use and privacy policies of those External Websites.

9. AI-POWERED FEATURES

Aurynion operates proprietary AI tools and integrates third-party AI services as part of the Site and Services. Your use of any AI-powered features is subject to our AI Usage Policy, which is incorporated into these Terms by reference.

Key terms governing your use of AI features include:

• You must not use AI features to generate illegal, harmful, defamatory, or deceptive content
• You must not attempt to manipulate, jailbreak, or circumvent AI systems operated by Aurynion
• You must not use the Site or its content to train, fine-tune, or develop any external AI or machine learning model
• AI-generated outputs do not constitute professional advice of any kind and are provided without warranty
• Aurynion is not liable for any decisions made in reliance on AI-generated content

10. PRIVACY AND COOKIE POLICY

Your use of the Site is governed by Aurynion‘s Privacy Policy and Cookie Policy.

Our Privacy Policy details how we collect, use, disclose, and protect personally identifiable information about users of the Site and Services. By using the Site, you consent to the data practices described in our Privacy Policy.

11. DISCLAIMERS AND WARRANTIES

11.1 Site Availability

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Aurynion DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.2 Accuracy of Content

Aurynion makes no representations or warranties as to the accuracy, completeness, reliability, or timeliness of any content on the Site, including Third-Party Content and AI-generated content. You acknowledge that reliance on any content on the Site is at your own risk.

11.3 Disclaimer of Implied Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Aurynion DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Aurynion AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES
• DAMAGES ARISING FROM RELIANCE ON ANY CONTENT ON THE SITE, INCLUDING AI-GENERATED CONTENT
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA

WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF Aurynion HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Aurynion‘s TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO Aurynion IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Aurynion LLC and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Site or Services
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable law or regulation
• Any AI-generated content you submit or act upon through the Site

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by contacting us at privacy@aurynion.com or through your account settings where available.

14.2 Termination by Aurynion

Aurynion reserves the right to suspend or terminate your access to the Site and Services, with or without notice, at any time and for any reason, including but not limited to:

• Breach of these Terms
• Misuse of your account
• Fraudulent, abusive, or illegal conduct
• Violation of our AI Usage Policy
• Prolonged inactivity

14.3 Effect of Termination

Upon termination:

• Your license to use the Site and Services immediately ceases
• Aurynion may delete your account and associated data in accordance with our Privacy Policy and data retention schedule
• Provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 11, 12, 13, 15, and 16

15. GOVERNING LAW AND JURISDICTION

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Subject to the dispute resolution provisions in Section 16, you agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York for the resolution of any disputes not subject to arbitration.

For EU and UK users, nothing in this Section limits your right to bring proceedings before the courts of your country of residence or to rely on mandatory consumer protection laws applicable in your jurisdiction.

16. DISPUTE RESOLUTION

16.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact Aurynion at privacy@aurynion.com and provide a written description of your dispute. We will attempt to resolve the dispute informally within 30 days of receipt.

16.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as provided in Section 16.4.

The arbitration shall be conducted in New York, New York, or remotely where agreed. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16.4 Exceptions

Notwithstanding Section 16.2, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized use of confidential information.

16.5 EU and UK Users

For users in the European Union, you may also submit disputes to the EU Online Dispute Resolution platform at https://consumer-redress.ec.europa.eu/. For UK users, alternative dispute resolution options may be available through your local trading standards body or the Citizens Advice Bureau.

17. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Cookie Policy, and AI Usage Policy, constitute the entire agreement between you and Aurynion regarding your use of the Site and Services and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the same subject matter.

19. CHANGES TO THESE TERMS

Aurynion reserves the right to update or modify these Terms at any time. When material changes are made, we will:

• Update the Last Updated date at the top of these Terms
• Notify registered users by email for significant changes
• Post a prominent notice on the Site

Your continued use of the Site following notice of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Site.
